Terms of Service
UrCircle
Effective date: November 2, 2026
urcircle-terms-beta-v1
01Acceptance of These Terms
These Terms of Service apply to the UrCircle website and application. UrCircle is currently operated by Louis Mazet in Luxembourg.
By using UrCircle, you agree to these Terms and to the Community Guidelines. The Privacy Policy explains how personal information is handled.
You must agree to these Terms before using an account. UrCircle will request your explicit acceptance during registration. If you do not agree, do not register and do not use the service.
An acknowledgment of the Privacy Policy is not a substitute for any consent that privacy law requires separately.
02About UrCircle
UrCircle is a social routine application. It provides digital tools for discovering activities, creating and joining routines, connecting with other users, and sharing Moments.
Unless an activity is expressly identified as organized by UrCircle, activities offered through the service are organized by users. UrCircle does not organize or physically supervise those activities.
UrCircle is preparing its first free external TestFlight beta for adults, initially aimed at people in the New York City area. That beta has not launched. Features may be added, changed, or removed as UrCircle develops.
03Eligibility and Age Requirements
You must be at least 18 years old, and legally permitted to use the service, to create an account or use UrCircle.
UrCircle is not directed to anyone under 18. If you are under 18, do not use UrCircle.
You are responsible for meeting these requirements. Asking you to confirm your age does not mean UrCircle has verified your identity or age. UrCircle does not promise that every account belongs to an adult, and it does not conduct background checks you can rely on.
04Accounts and Account Security
You agree to provide account information that is accurate and to keep it accurate.
You are responsible for:
- keeping your login credentials confidential;
- activity that takes place through your account;
- telling UrCircle if you believe someone is using your account without permission.
Your responsibility for your account is separate from the obligations UrCircle itself has under these Terms and under law that cannot be disclaimed.
05User-Organized Activities and In-Person Interactions
UrCircle primarily provides digital tools that let users create and join routines. A routine, invitation, or meetup is a voluntary arrangement among users, unless UrCircle expressly identifies that activity as organized by UrCircle.
The person who creates a routine, and the people who join it, are each responsible for their own decisions, the information they provide, and how they treat other people. That responsibility belongs to those users. It is not the same thing as an obligation UrCircle itself owes under these Terms or under mandatory law.
Using UrCircle to find an activity or to communicate about it does not make UrCircle the host, the venue, or a supervisor of what happens in person.
UrCircle does not guarantee:
- another user’s identity, age, background, intentions, or behavior;
- that someone will attend;
- that a place is safe; or
- that an activity will happen as it was described, or with any particular outcome.
06Personal Safety and Meeting Precautions
Participation is voluntary. You decide whether to join a routine and whether to meet anyone in person.
If you choose to meet, take reasonable precautions. Meet in a public place when you can. Tell a trusted person where you are going and who you expect to meet. Leave if you feel unsafe.
If you or someone else is in immediate danger, contact local emergency services. UrCircle is not an emergency service, does not provide emergency assistance, and does not supervise in-person meetings.
07Prohibited Conduct
You must not use UrCircle to:
- assault, harass, threaten, stalk, intimidate, or exploit someone;
- unlawfully discriminate against someone, or direct hateful abuse at them;
- impersonate another person, or misrepresent your identity in order to deceive or defraud someone;
- scam, defraud, or deliberately mislead another user;
- plan, promote, or take part in a dangerous or unlawful activity;
- disclose another person’s personal information without a lawful basis and without their permission;
- submit a report that you know is false, or use reporting tools to harass someone;
- attempt to access UrCircle, or another person’s account, without permission;
- upload content that is illegal or that you do not have the right to share.
The Community Guidelines give further examples of conduct that is not allowed. They do not reduce the obligations in these Terms.
08User-Generated Content
You may submit content to UrCircle, including text, photos, videos, and Moments.
You are responsible for that content. Do not submit material that infringes another person’s copyright, trademark, or other intellectual-property right, or that violates another person’s privacy or right of publicity. That includes a photo or video of someone else when you do not have the rights and permissions needed to share it.
You retain ownership of content you submit. UrCircle does not claim ownership of it.
09License to User Content
You grant UrCircle a non-exclusive, royalty-free license only as reasonably necessary to host, store, display, process, reproduce, and distribute content you submit so that UrCircle can operate and provide the service. This includes use by service providers that UrCircle uses for those purposes.
This license does not give UrCircle a right to sell your content, or to use it for advertising or other marketing that is unrelated to operating UrCircle.
The license ends when the content or your account is deleted, except where UrCircle is legally required or permitted to keep the content, or where a limited copy remains for a technical backup period.
10Information Visibility and Privacy
Profile information, routines, participation details, and Moments may be visible to other users. What another person can see depends on the feature involved and on the access rules that apply to it.
These Terms do not promise a particular privacy control or a guarantee about who can see a particular item. The Privacy Policy explains how UrCircle handles personal information. Please read it with these Terms.
11Reporting, Blocking, and Moderation
UrCircle provides tools to report and block other users. Blocking is intended to limit further visibility and interaction between those users, to the extent the product provides that limitation. These Terms do not promise that a block is technically absolute in every case.
UrCircle reviews reports as appropriate. Where reasonably necessary for safety, to enforce these Terms or the Community Guidelines, to comply with law, or to protect users, UrCircle may remove content, restrict features, or suspend or terminate an account.
UrCircle may also consider a credible report about an incident that happened offline, when the activity was arranged through UrCircle.
UrCircle prioritizes serious safety concerns and aims to act promptly based on severity and the circumstances. UrCircle does not constantly monitor the service, and it does not provide around-the-clock monitoring. It does not guarantee a specific response time or a particular enforcement outcome.
12Emergencies, Investigations, and Legal Requests
If someone is in immediate danger, contact local emergency services or another appropriate local authority. Do not rely on UrCircle for emergency help. UrCircle does not provide emergency assistance and does not promise a response time.
Where privacy law allows it, UrCircle may keep information related to a reported incident, a safety risk, or a legal claim, for a period that is appropriate to that purpose.
UrCircle may respond to a lawful request from a competent public authority, and may cooperate with an investigation when the law requires or permits that cooperation. UrCircle does not commit to disclose information beyond what privacy law allows. The Privacy Policy describes how personal information is handled.
13Account Restrictions, Suspension, and Termination
You may stop using UrCircle at any time. You may delete your account through the app.
UrCircle may restrict features, suspend an account, or end access where there is a serious or repeated violation of these Terms or the Community Guidelines, fraud, abuse, a safety risk, or a legal requirement to do so.
Ending access does not by itself erase information UrCircle is legally required or permitted to keep, including limited backup copies and information kept under Section 12.
14Beta Program and TestFlight
UrCircle is preparing a free beta through Apple’s TestFlight. That beta has not launched. You will not pay UrCircle to take part in it.
The beta may contain bugs, interruptions, incomplete features, or changes. Availability will also depend on Apple and on the devices TestFlight supports. Where Apple’s terms apply to your use of TestFlight, those terms apply as well.
If you receive access to Premium features for testing, that access is only for the test. It does not give you Premium for life, and it does not sign you up for future billing.
15Subscriptions and Future Paid Features
Paid subscriptions are not currently part of UrCircle.
UrCircle may offer subscriptions or other paid features later. If it does, the price, renewal, cancellation, and payment terms will be shown before you purchase. Where a purchase is made through an app store, that store’s payment terms may also apply.
Testing access described in Section 14 is not a paid subscription. It does not start billing by itself.
16Third-Party Services and Independent Providers
UrCircle relies on third-party infrastructure and platform services to operate. Those services can include hosting, authentication, email delivery, and distribution through TestFlight. Where a third party’s terms apply to you, those terms may also apply.
A venue, instructor, or other person who provides a place or a service in connection with a user-organized activity does so independently, unless UrCircle expressly says otherwise. Your dealings with that person are between you and them.
This section does not limit a claim you may have against UrCircle itself under these Terms and applicable law, including the claims preserved in Sections 18 and 19.
17Intellectual Property
UrCircle’s name, branding, software, interface, and original materials are protected by applicable intellectual-property laws. These Terms do not transfer ownership of them to you.
You may use the service for your own personal participation in UrCircle. You may not reproduce or otherwise use UrCircle’s legally protected software, branding, designs, or materials without authorization, except where applicable law allows that use. Nothing in these Terms prohibits lawful competition.
Content you submit remains governed by Sections 08 and 09.
18Service Availability and Disclaimers
To the extent permitted by applicable law, UrCircle is provided on an “as available” basis. UrCircle does not guarantee that the service will be uninterrupted or error-free.
To the extent permitted by applicable law, UrCircle is not responsible for an activity it did not organize, or for the independent conduct of another user, an organizer, a venue, or another third party. The limits in Section 05 also apply.
Nothing in this section excludes or limits a right that cannot legally be excluded. Nothing here limits UrCircle’s own liability where Section 19, or mandatory law, does not allow that limit. That includes remedies for a breach of data-protection law, mandatory consumer protections, and any other claim the law preserves.
19Limitation of Liability
UrCircle does not automatically assume liability for a user-organized activity, or for another person’s misconduct, merely because those people connected through UrCircle. Users and organizers remain responsible for their own conduct, as described in Section 05.
To the extent permitted by applicable law, UrCircle is not liable for indirect or consequential loss arising from use of the service or from a user-organized activity.
UrCircle remains responsible for its own legally actionable conduct. Nothing in these Terms limits or excludes liability where mandatory law does not allow a limit or an exclusion. That includes, where the law so requires:
- liability for death or personal injury caused by negligence;
- liability for fraud or fraudulent misrepresentation;
- remedies for a breach of data-protection law;
- mandatory consumer protections; and
- any other claim or remedy that cannot legally be waived.
These Terms do not set a fixed monetary cap on liability. They do not require you to indemnify UrCircle. They do not require arbitration, and they do not waive a right to bring a claim the law allows you to bring.
20Governing Law and Disputes
These Terms are governed by the laws of Luxembourg.
This choice of law does not take away mandatory protections that apply to you. That includes mandatory consumer protections, and rights you have under the laws of the country where you live, where those protections cannot legally be set aside.
A dispute may be brought before the courts that applicable law makes available. If you are a consumer, that can include the courts of your country of residence where mandatory law gives you that forum. These Terms do not require you to give up a court or a procedure that the law does not allow to be waived.
21Changes to the Service and These Terms
UrCircle may update the service and these Terms.
When updated Terms are published, they will show an accurate effective date. UrCircle will give appropriate notice. Where the law requires you to accept the updated Terms again, UrCircle will ask for that acceptance. Changing the date on this page does not, by itself, make a revision binding.
If you do not agree to updated Terms that apply to you, stop using UrCircle. You may delete your account.
22Severability and Interpretation
If a court or another competent authority finds that part of these Terms is invalid or unenforceable, the rest remains in effect. The affected part applies only to the extent the law allows. If it cannot be applied, it is treated as removed.
These Terms are read so that they do not waive a right, remedy, or protection that applicable law does not allow to be waived. Headings are for convenience and do not change the meaning of a section.
A decision not to enforce a provision is not a waiver of it.
